Terms of Service

These terms govern your use of Kreward, the digital loyalty-card platform at kreward.net. By creating an account or claiming a loyalty card you agree to them.

1. The service

Kreward lets merchants design and issue digital loyalty cards. Customers claim a card by scanning a merchant’s QR poster, providing their email, and validating it, then save the card to Apple Wallet or Google Wallet. The service runs the issuance, the push updates, and the customer dashboard.

4. Plans and billing (merchants)

Plan prices and limits may change with 30 days' notice. Charges are billed monthly in advance. We do not refund partial months. You can cancel at any time; the account remains active through the end of the paid period and then closes.

4a. Taxes

Kreward is a business-to-business (B2B) service sold to legal entities only. All prices listed on the website and in the dashboard are stated exclusive of any taxes, duties or levies. The Customer is responsible for any local indirect tax (VAT, GST or equivalent) applicable in its own jurisdiction.

European Union (EU) customers. Sales to EU-established businesses are subject to the reverse-charge mechanism under Article 196 of EU Council Directive 2006/112/EC. The Customer must provide a valid EU VAT identification number at checkout; Stripe verifies the number against the VIES database. When the reverse charge applies, Kreward issues an invoice without VAT and the Customer self-accounts for VAT in its own Member State. Customers without a valid VAT identification number will be treated as non-VAT-registered and the applicable Member State VAT rate may be added to the invoice.

United Kingdom, Switzerland, and other jurisdictions. Where the Customer's jurisdiction requires reverse-charge or equivalent self-accounting mechanisms for B2B cross-border services, the same principle applies: invoice is issued without local tax and the Customer self-accounts.

Hong Kong customers are not currently subject to indirect tax on these services.

Each Stripe invoice itemises the listed price, any tax applied, and references the legal basis (e.g. "Reverse charge — VAT to be accounted for by the recipient, Art. 196 Directive 2006/112/EC") when the reverse-charge mechanism is used.

5. Customer cards

A loyalty card belongs to the customer and the merchant that issued it. If the merchant closes their account, the cards they issued stop functioning. If the customer does not validate a new card within 14 days, the card is automatically deactivated. Stamps and points are not transferable between merchants and have no cash value.

6. Wallet providers

Saving a card to Apple Wallet or Google Wallet is subject to the terms of Apple Inc. and Google LLC respectively. We deliver the wallet bundle on best-effort basis and cannot guarantee continued availability if Apple or Google change their platform.

7. Intellectual property

Merchants retain all rights to the brand assets (logos, names, copy) they upload. You grant Kreward a non-exclusive licence to use those assets for the sole purpose of operating the service for you — printing your QR poster, rendering your card in Apple/Google Wallet, displaying it on the customer dashboard.

All other intellectual property in the service (code, UI, templates) remains the property of Kreward. You may not copy, resell, or reverse-engineer it.

8. Disclaimers and liability

The service is provided “as is”. We do our best to keep it running but we don’t guarantee uninterrupted availability. To the maximum extent permitted by law, our liability for any claim is limited to the fees you have paid in the 12 months before the claim arose.

We are not responsible for losses caused by Apple or Google’s wallet platforms, payment processors, internet outages, or events outside our reasonable control.

9. Termination

Either of us can end this agreement at any time. We may suspend an account immediately if we reasonably believe it is being used to violate these terms or the law. On termination we will delete the account data within 30 days unless we are required by law to keep it longer.

10. Governing law

These terms are governed by the laws of the Hong Kong Special Administrative Region and any dispute is subject to the exclusive jurisdiction of the Hong Kong courts.

11. Changes

We may update these terms occasionally. Significant changes will be announced to account holders by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
